Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") form a binding legal agreement between you and Overclock Studio ("CruiseSignal", "we", "us", or "our"), the operator of the CruiseSignal mobile application, the website at cruisesignal.app, and any related services we offer (collectively, the "Service").

By creating an account, downloading, installing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

These Terms are entered into between you and us only. Apple Inc. ("Apple") is not a party to these Terms and is not responsible for the Service or its content, although Apple has third-party beneficiary rights as described in section 26.

Whether a price drop is eligible for a refund, credit, upgrade, or any other benefit is determined solely by the applicable cruise line under its own current published policies and at its sole discretion. CruiseSignal does not adjudicate, approve, or deny claims, and does not pay out refunds, credits, upgrades, or any other benefit.

Unless we expressly offer a separate feature in the future and you accept additional terms for it, we do not submit claims, call or message cruise lines, log in to cruise-line accounts, hold cabins, cancel or rebook reservations, change passenger names, accept cruise-line terms on your behalf, or make any other booking decision for you.

4. No affiliation with cruise lines

CruiseSignal is an independent service. We are not affiliated with, endorsed by, sponsored by, partnered with, or authorized by Royal Caribbean International, Carnival Cruise Line, Norwegian Cruise Line (NCL), Princess Cruises, Celebrity Cruises, or any other cruise line, cruise brand, parent company, travel agency, or travel supplier. Cruise line names, logos, ship names, fare-program names (including but not limited to "Best Price Guarantee", "Early Saver", "Better Than Best Price Guarantee", "Best Price. Guaranteed.", "110% Lowest Price Guarantee", "The Haven", and "The Retreat"), and other trademarks are the property of their respective owners and are used here for the sole purpose of identifying the cruise line whose pricing we are monitoring on your behalf, in accordance with nominative fair use.

5. Accuracy of pricing and policy data

Pricing data shown in the Service is sourced from public cruise-line listings and may be:

Cruise lines change their published policies — including price-protection programs, deposit terms, cancellation penalties, final-payment deadlines, and exclusions — without notice. The Service's summaries of those policies are convenience descriptions only. You are responsible for confirming current policies directly with the cruise line or your travel advisor before taking any action that has financial consequences, including (without limitation) cancelling and rebooking, calling to submit a claim, or letting a deadline pass.

CruiseSignal may be unable to monitor a sailing or cruise line if a cruise-line website, API, booking path, policy, technical system, or access rule changes; if pricing is not publicly available; if access is blocked, restricted, unreliable, or legally disputed; or if we determine that continued monitoring could create operational, legal, or security risk. We may pause, limit, or discontinue monitoring for any booking, sailing, cabin category, fare type, or cruise line at any time, with or without notice.

6. Price-drop claims are between you and the cruise line

Any refund, onboard credit, future cruise credit, complimentary upgrade, repricing, or other benefit you may obtain as a result of a price drop is issued by the cruise line, on the cruise line's timeline, under the cruise line's policy, and at the cruise line's discretion. Common (non-exhaustive) limitations imposed by cruise lines that may apply to your booking include:

We make no representation that your booking, fare type, or claim will qualify under any cruise line's policy. Decisions about whether to cancel a booking, rebook a booking, change a name on a booking, change a sail date, file a claim, or take any other action that may incur a cancellation penalty, deposit forfeiture, change fee, lost promotion, or lost loyalty perk are yours alone, and you take them at your own risk.

7. Eligible bookings and your authorization

CruiseSignal currently supports only the cruise lines, fare types, regions, and booking circumstances we make available in the Service. When you submit a booking for monitoring, you represent and warrant that:

You authorize CruiseSignal to use the booking details and eligibility attributes you provide solely to operate the Service, including matching your booking to comparable publicly available cruise-line pricing, monitoring for possible price changes, generating alerts, improving matching accuracy, preventing abuse, and providing support. This authorization does not appoint us as your travel agent or authorize us to submit claims or change your booking.

8. Accounts and your information

You sign in with a one-time email code or with Sign in with Apple. You are responsible for the accuracy of the booking information you enter, for keeping your sign-in method secure, and for all activity that occurs under your account. Notify us at support@cruisesignal.app promptly if you suspect unauthorized use.

You may close your account at any time from within the app or by contacting support. Closing your account does not cancel any subscription you have purchased through Apple — you must cancel that separately in your device settings (see section 9).

9. Subscriptions, billing, trials, and renewals

Some features of the Service require a paid subscription. Subscriptions are sold by Apple through your App Store account and are governed by the Apple Media Services Terms and Conditions in addition to these Terms. We use third-party providers (Superwall and RevenueCat) to present paywalls and to verify entitlement; we do not receive your payment-card information.

Auto-renewal. Unless you cancel at least 24 hours before the end of the current period, your subscription will automatically renew for the same period at the then-current price. Apple will charge the payment method on file. You can manage or cancel a subscription at any time in Settings → [your name] → Subscriptions on your iOS device.

Free trials. If a free trial is offered, you will be charged for the subscription at the end of the trial unless you cancel before the trial ends. Trial eligibility is determined by Apple and cannot be transferred between accounts. Where required by law (for example, California Business & Professions Code §17602), you will see the trial price, the post-trial price, and the cancellation method before purchase.

Price changes. We may change subscription prices for future renewal periods. Where required, we will notify you in advance and obtain consent for the new price.

10. Refunds

All purchases are final except as required by Apple's refund policy or applicable law (including, without limitation, the EU consumer-rights right of withdrawal, where it applies and has not been waived by your express request to begin the digital service immediately). Because purchases are processed by Apple, refund requests are handled by Apple at support.apple.com/billing. We do not control whether Apple grants a refund.

11. License to use the app

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download and use the CruiseSignal app on a device that you own or control, for your personal, non-commercial use. This license is granted by us; for App Store distribution it is the licence described in the Apple Media Services Terms and Conditions and is subject to the Usage Rules in those terms.

You retain whatever rights you have in the booking information and other content you provide ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, and display Your Content solely to operate, maintain, secure, and improve the Service for you. You represent that you have the right to provide Your Content and that doing so does not violate any law or third-party right.

You are responsible for the accuracy of the booking information you enter (reservation number, sailing, fare type, deposit type, paid-in-full status, price paid, etc.). Inaccurate input will produce inaccurate monitoring and inaccurate notifications, and is not a defect in the Service.

14. Push notifications and email

By enabling notifications, you consent to receive push notifications and transactional emails (for example, sign-in codes, account messages, and price-drop alerts). Push delivery depends on Apple Push Notification service, Google services where applicable, your network, your device state, and your operating-system settings; we cannot guarantee that any notification will be delivered, will arrive promptly, or will arrive at all. Missed or delayed notifications are not a breach of these Terms. You can disable notifications at any time in your device settings.

15. Third-party services

The Service relies on third parties — including Apple (App Store, Sign in with Apple, push notifications), RevenueCat (subscription entitlement), Superwall (paywall delivery), Mixpanel (product analytics), Cloudflare (hosting and edge delivery), and our database and observability providers — and may link to cruise-line websites and other third-party sites. Their products are governed by their own terms and privacy policies. We are not responsible for any third-party product or site, and including a link or integration is not an endorsement.

Cruise-line websites, apps, APIs, reservation systems, pricing systems, and policies are outside our control. They may change, restrict, block, or discontinue access at any time, and those changes may prevent the Service from monitoring some or all bookings.

16. Intellectual property

The Service, including its software, design, text, graphics, and the "CruiseSignal" name and logo, is owned by us or our licensors and is protected by copyright, trademark, and other laws. Nothing in these Terms transfers any of those rights to you. All rights not expressly granted are reserved.

17. Feedback

If you send us suggestions, feature requests, or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use it for any purpose without obligation or compensation to you.

18. Suspension and termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have breached these Terms, if required by law, or if continued provision of the Service would expose us, another user, a cruise line, or another third party to risk. We may also suspend, limit, or discontinue monitoring for any cruise line, booking, sailing, fare type, or feature, and may discontinue the Service in whole or in part. On termination, your right to use the Service ends and the sections of these Terms that by their nature should survive (including 5, 6, 7, 9 (for amounts owed), 12, 16, 17, 18, 19, 20, 21, 22, 23, 24, 25, and 26) will survive.

19. Disclaimers

The Service is provided "as is" and "as available", with all faults and without warranty of any kind. To the maximum extent permitted by law, we and our licensors and suppliers disclaim all warranties, express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising out of course of dealing, course of performance, or trade usage.

Without limiting the foregoing, we do not warrant that:

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions the exclusions above apply to the maximum extent permitted.

20. Limitation of liability

To the maximum extent permitted by law, in no event will we, our affiliates, officers, directors, employees, agents, licensors, or suppliers be liable to you or any third party for:

even if we have been advised of the possibility of such damages and even if a remedy fails of its essential purpose. Our total aggregate liability for any and all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service in the 12 months immediately before the event giving rise to the claim, or (b) US$50.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the maximum extent permitted by law. Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited.

21. Indemnification

To the maximum extent permitted by law, you are responsible for third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (i) your misuse of the Service; (ii) booking information or other content you submit; (iii) your breach of these Terms or violation of applicable law; or (iv) any fraudulent, unlawful, or unauthorized dealings with a cruise line, travel agent, or other third party.

22. Dispute resolution

If you have a concern about the Service, contact us first at support@cruisesignal.app so we can try to resolve it informally. Before either party starts a legal proceeding, that party will give the other a reasonable written description of the dispute and at least 30 days to respond, unless urgent legal action is needed to prevent harm or protect intellectual-property rights.

To the maximum extent permitted by law, you and we agree to bring claims against the other only in an individual capacity and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. This does not limit any non-waivable consumer-protection rights you may have under applicable law.

23. Governing law and venue

These Terms are governed by the laws applicable to CruiseSignal in the United States, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. You and we submit to the jurisdiction of courts with authority over the dispute, subject to any mandatory consumer-protection rights that apply where you live.

If you are a consumer resident in the European Union, the European Economic Area, the United Kingdom, or another jurisdiction whose law grants you mandatory consumer-protection rights that cannot be derogated from by agreement, those rights apply notwithstanding this section.

24. Export and sanctions

You represent that you are not located in, under the control of, or a national or resident of any country or person subject to a comprehensive U.S. embargo, that you are not on any U.S. government list of prohibited or restricted parties, and that you will not use the Service in violation of any applicable export-control or sanctions law.

25. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will give reasonable advance notice (for example, by in-app notice, by email, or by updating the "Last updated" date at the top of this page) and, where required by law, we will obtain your consent. Continued use of the Service after updated Terms are posted or otherwise made effective means you accept the updated Terms; if you do not accept, you must stop using the Service.

26. General

26.1 Apple-specific terms

The following applies to the iOS version of the app, in addition to the rest of these Terms:

26.2 Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

26.3 Waiver

Our failure to enforce a provision is not a waiver of our right to do so later.

26.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

26.5 Notices

We may give notice to you by in-app message, push notification, or email to the address associated with your account. You give notice to us by email to support@cruisesignal.app.

26.6 Force majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or telecommunications outages, government actions, and pandemics.

26.7 Entire agreement

These Terms, together with the Privacy Policy and any additional terms you accept when using a specific feature, are the entire agreement between you and us about the Service and supersede any prior agreement on the same subject.
